Our Services include AI that learns your company context, monitors buying signals from sources like LinkedIn and company news, and generates personalised outreach messages on your behalf.

Account Terms

To use our Services, you must:

• Be at least 18 years of age
• Use the Services for legitimate business purposes only
• Provide accurate and complete information when creating your account
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorised use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Payment

Access to Prospeqt requires a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Founding member pricing and promotional rates are subject to change for new subscribers.

Billing: Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods.

Price Changes: We may change our pricing at any time. Any price changes will apply to your next billing cycle after we provide you with notice.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services to:

• Send unsolicited bulk messages or spam
• Harass, abuse, or harm any person or entity
• Send misleading, deceptive, or fraudulent communications
• Impersonate any person or entity, or misrepresent your affiliation
• Collect or harvest personal information without proper consent
• Violate the terms of service of any third-party platform, including LinkedIn
• Engage in any activity that interferes with or disrupts our Services
• Attempt to gain unauthorised access to our systems or networks

Violation of these acceptable use requirements may result in immediate suspension or termination of your account without refund.

AI-Generated Content

Our Services use artificial intelligence to help draft outreach messages based on your company context and prospect information. You acknowledge and agree that:

• AI-generated content is provided as a suggestion and may require review and editing
• You are solely responsible for reviewing, approving, and sending any outreach messages
• We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
• You are responsible for ensuring your outreach complies with applicable laws and platform terms of service

We provide the option to review messages before sending or to run outreach on autopilot. Regardless of which option you choose, you remain responsible for all communications sent through our Services.

Intellectual Property

Our Property: Prospeqt and its licensors own all rights, title, and interest in and to the Services, including all software, algorithms, designs, and content. You may not copy, modify, distribute, or reverse engineer any part of our Services.

Your Data: You retain ownership of all data you provide to us, including your company information and any content you create. You grant us a limited licence to use this data solely to provide and improve our Services.

Third-Party Services

Our Services integrate with and rely on third-party platforms and data sources, including LinkedIn. We are not responsible for the availability, accuracy, or policies of these third-party services. Changes to third-party platforms may affect the functionality of our Services.

Limitation of Liability

To the maximum extent permitted by law, Prospeqt and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our Services.

Our total liability for any claims arising from or related to these Terms or your use of the Services shall not exceed the total fees you paid to us in the twelve months preceding the claim.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify and hold harmless Prospeqt and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Services. We may terminate or suspend your access immediately if you violate these Terms.

Upon termination, your right to use the Services will cease immediately. We will delete your data within 90 days of termination, unless we are required to retain it for legal purposes.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a notice on our Services at least 30 days before the changes take effect. Your continued use of the Services after any changes indicates acceptance of the modified Terms.

General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
